1. Acceptance of Terms / শর্তাবলীর গ্রহণযোগ্যতা
By engaging KS Infotech for services or utilizing our proprietary software products, you agree to be bound by these Terms and Conditions. These terms govern the relationship between KS Infotech and the client for all digital transformation, software development, and consultancy projects.
KS Infotech-এর পরিষেবা গ্রহণ করে বা আমাদের মালিকানাধীন সফটওয়্যার পণ্যগুলি ব্যবহার করে, আপনি এই শর্তাবলী দ্বারা আবদ্ধ হতে সম্মত হন। এই শর্তাবলী ডিজিটাল রূপান্তর, সফটওয়্যার ডেভেলপমেন্ট এবং পরামর্শ প্রকল্পের জন্য KS Infotech এবং ক্লায়েন্টের মধ্যে সম্পর্ক পরিচালনা করে।
2. Services and Deliverables / পরিষেবা এবং বিতরণযোগ্যতা
KS Infotech agrees to provide the services specified in the project proposal or Service Level Agreement (SLA). Deliverables are defined by the agreed-upon technical roadmap. Any modifications to the scope of work must be agreed upon in writing through a change request process.
KS Infotech প্রকল্পের প্রস্তাব বা সার্ভিস লেভেল এগ্রিমেন্টে (SLA) নির্দিষ্ট করা পরিষেবাগুলি প্রদান করতে সম্মত। বিতরণযোগ্যতাগুলি সম্মত কারিগরি রোডম্যাপ দ্বারা সংজ্ঞায়িত করা হয়। কাজের পরিধিতে কোনো পরিবর্তনের জন্য একটি পরিবর্তন অনুরোধ প্রক্রিয়ার মাধ্যমে লিখিতভাবে সম্মত হতে হবে।
3. Payment Terms / অর্থপ্রদানের শর্তাবলী
- Project payments are structured around milestones as defined in the contract.
- A non-refundable commencement fee is required to initiate any custom development project.
- Final deliverables will be released or deployed only upon receipt of full payment.
- Late payments may result in project suspension or technical support delays.
- প্রকল্পের অর্থপ্রদান চুক্তিতে সংজ্ঞায়িত মাইলস্টোন অনুযায়ী ধাপে ধাপে করা হয়।
- যেকোনো কাস্টম ডেভেলপমেন্ট প্রকল্প শুরু করার জন্য একটি অফেরতযোগ্য প্রারম্ভিক ফি প্রয়োজন।
- চূড়ান্ত বিতরণযোগ্য কেবল পূর্ণ অর্থপ্রদান প্রাপ্তির পরেই মুক্তি বা স্থাপন করা হবে।
- বিলম্বে অর্থপ্রদানের ফলে প্রকল্প স্থগিত বা প্রযুক্তিগত সহায়তা বিলম্বিত হতে পারে।
4. Intellectual Property / মেধাস্বত্ব
Upon full and final payment, the intellectual property rights for custom-built software will be transferred to the client, excluding any proprietary frameworks, libraries, or pre-existing code owned by KS Infotech. KS Infotech retains the right to use non-confidential elements of the project for marketing and portfolio purposes.
সম্পূর্ণ এবং চূড়ান্ত অর্থপ্রদানের পর, কাস্টম-নির্মিত সফটওয়্যারের মেধাস্বত্ব অধিকার ক্লায়েন্টকে হস্তান্তর করা হবে, তবে KS Infotech-এর মালিকানাধীন কোনো প্রোপাইটারি ফ্রেমওয়ার্ক, লাইব্রেরি বা পূর্ব-বিদ্যমান কোড এর অন্তর্ভুক্ত হবে না। KS Infotech বিপণন এবং পোর্টফোলিও উদ্দেশ্যে প্রকল্পের গোপনীয় নয় এমন উপাদানগুলি ব্যবহার করার অধিকার সংরক্ষণ করে।
5. Confidentiality / গোপনীয়তা
Both parties agree to maintain strict confidentiality regarding proprietary business information, technical data, and trade secrets shared during the project lifecycle. This obligation extends beyond the termination of the service agreement.
উভয় পক্ষ প্রকল্পের জীবনচক্রের সময় শেয়ার করা মালিকানাধীন ব্যবসায়িক তথ্য, প্রযুক্তিগত ডেটা এবং ট্রেড সিক্রেট সম্পর্কে কঠোর গোপনীয়তা বজায় রাখতে সম্মত। এই বাধ্যবাধকতা পরিষেবা চুক্তির অবসানের পরেও কার্যকর থাকে।
6. Limitation of Liability / দায়বদ্ধতার সীমাবদ্ধতা
KS Infotech shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our services or products. While we adhere to banking-grade security standards, the ultimate responsibility for data backups and operational security resides with the client once the solution is deployed.
আমাদের পরিষেবা বা পণ্য ব্যবহারের ফলে কোনো পরোক্ষ বা আনুষঙ্গিক ক্ষতির জন্য KS Infotech দায়ী থাকবে না। যদিও আমরা ব্যাংকিং-গ্রেড সুরক্ষা মান অনুসরণ করি, সমাধানটি স্থাপন করার পরে ডেটা ব্যাকআপ এবং অপারেশনাল সিকিউরিটির চূড়ান্ত দায়িত্ব ক্লায়েন্টের উপর থাকে।
7. Governing Law / প্রযোজ্য আইন
These terms are governed by the laws of the People's Republic of Bangladesh. Any disputes arising from these terms will be settled through arbitration in Dhaka, Bangladesh.
এই শর্তাবলী গণপ্রজাতন্ত্রী বাংলাদেশের আইন দ্বারা পরিচালিত। এই শর্তাবলী থেকে উদ্ভূত যেকোনো বিরোধ বাংলাদেশের ঢাকায় সালিশের মাধ্যমে নিষ্পত্তি করা হবে।
